Policies and Bylaws
Policies
The Child Sexual Abuse Prevention Network governs using
what has become known as the policy governance model. In this model,
there are two important groups of people: the board and its management.
In its simplest terms, the board determines through written policies
what it wants to accomplish, for whom and at what cost. Management
then determines the best way to accomplish those goals without
violating certain rules laid out by the board.
The board writes and continually reviews four distinct types of policies:
| Ends |
These are policies that outline what
the board wants to accomplish, for whom and at what cost. They answer
the question: Why are we here and how do we want to make a difference in the world? |
| Executive limitations
|
These policies then outline what the
CEO should avoid doing in pursuit of organizational goals.
As long as the CEO does not violate these limitations, the CEO is
free to use his or her own expertise and judgment to achieve the
board's ends. |
| Governance process
|
These are policies that outline the
process of governance. |
| Board-CEO linkage
|
These outline how the board and management
will work together, the role of the CEO and how the CEO’s
performance is measured. |
